Contratos inteligentes en alianzas estratégicas: hacia una teoría de la gobernanza algorítmico-relacional

Resumen

Las alianzas estratégicas han exigido desde hace tiempo que sus participantes combinen la certeza de los contratos formales con la flexibilidad adaptativa de los mecanismos relacionales, y el debate entre sustitución y complementariedad en la gobernanza de alianzas ha dedicado décadas a intentar esclarecer cómo pueden conjugarse ambas cualidades. La reciente aparición de los contratos inteligentes habilitados por blockchain complica este panorama de maneras interesantes. Este artículo se pregunta cómo interactúan los contratos inteligentes con los mecanismos de gobernanza contractual y relacional documentados en la literatura sobre alianzas estratégicas, qué condiciones configuran dicha interacción y cuáles son sus implicaciones para la teoría de alianzas. Apoyándose en proporciones aproximadamente equivalentes en la literatura sobre gobernanza de alianzas y en la literatura sobre gobernanza blockchain, el artículo desarrolla un marco teórico que posiciona los contratos inteligentes como un tercer mecanismo de gobernanza junto a las formas contractual y relacional, dando lugar a un arreglo híbrido denominado gobernanza algorítmico-relacional. Se derivan tres proposiciones y se ilustran mediante un estudio de caso de la plataforma DL Freight de Walmart Canada, uno de los despliegues de contratos inteligentes en entornos productivos de mayor envergadura en un contexto de alianza multipartita. Los hallazgos sugieren que los contratos inteligentes funcionan principalmente como complementos de gobernanza más que como sustitutos, que alteran la dinámica de las alianzas de maneras que la economía de costos de transacción por sí sola no puede predecir, y que su eficacia depende de decisiones deliberadas de diseño arquitectónico que son, a su vez, producto de la negociación relacional entre los socios de la alianza.
